Strategic Goals and Mentoring

Successful entrepreneurs believe in personal development. If you want to take your business forward you need to be at least one step ahead, because that is the only way you can lead. You know this means that you have to learn new personal skills, and that is often an important part of your motivation. We help you to identify your goals, how to make things change, and work out time lines for these goals. What is important now may not be the key driver in a few years’ time. It is easier to think clearly about your long term plans away from your office.

Shares and Options for Employees

How can you attract and keep your best employees? We have set up a range of Employee Share Schemes: including Approved Share Options, or Enterprise Management Incentives. We start by helping you decide what you want to achieve. Working closely with your lawyers, we consider the numerous qualifying conditions and reporting requirements. This will include agreeing the value of your company shares, explained further in a separate page. In simpler situations, maybe all you need is help to design bonus systems based on the right KPI’s to make a meaningful motivation target.

Funding and Growth : Loans, Grants and Risk Capital

Do you need to raise funds to get your plans moving? We can signpost potential lenders, either on the high street, or introduce you to newer peer-to-peer financing models. We will be there to assist you with cash flow forecasts, and other reporting requirements to meet lending mandates. If you are hoping to raise significant funding from external equity investors, we regularly help clients to implement share issues using both the Enterprise Investment Scheme, and the Seed Enterprise Investment Scheme (EIS and SEIS). These shares are attractive to investors because of the significant personal tax reliefs available, which offset the investment risk from investing capital into unquoted companies. We can take you through the whole process. This can include using HMRC’s assurance facility to make sure that your activities, your plans and the terms of the share issues will meet the qualifying conditions. This is helpful for your potential investors as this means that HMRC agrees that EIS relief will be given, so long as the transactions are carried out exactly as disclosed in the assurance application. The next stages involve dealing with the share issues, preparing the compliance application EIS1 for submission to HMRC and completing the EIS3 certificates for the investors once clearance is given. EIS and SEIS schemes are similar but there are important distinctions. And of course we deal with the complex tax affairs of EIS investors, to help them make best use of the associated personal income tax and capital gains tax reliefs.
